End User Licence Agreement (EULA)

Contedia Ltd (Company No. 04231393)
Technology House, 35 Southgate, Pontefract, WF8 1LN, United Kingdom
Last updated: 9 September 2026

This End User Licence Agreement (“Agreement”) covers Contedia Ltd’s private, internal software application registered with Intuit for connecting Contedia systems (including Grok Bot assistants) to Intuit QuickBooks Online (the “App”).

The App is licensed only for Contedia’s internal business use. It is not sold as a standalone product to the public and is not listed for general third-party customers on the QuickBooks App Store as a commercial offering to unrelated businesses (unless Contedia later expressly changes that and updates this Agreement).

1. Licence

Subject to this Agreement and Intuit’s applicable developer and API terms, Contedia grants authorised Contedia users and Contedia-operated automation a limited, non-exclusive, non-transferable, revocable licence to use the App solely to access Contedia’s own QuickBooks Online company data for Contedia bookkeeping and related internal operations.

2. Restrictions

You must not:

  • use the App to access any QuickBooks Online company you are not authorised by Contedia to access;
  • sublicense, sell, rent, or publicly redistribute the App;
  • attempt to circumvent Intuit OAuth, Contedia access controls, or API rate/security limits; or
  • use the App for unlawful purposes.

3. Intuit platform

Use of QuickBooks Online remains subject to Intuit’s terms, privacy notices, and policies. Contedia does not control Intuit’s platform availability or Intuit’s processing of data once submitted to Intuit.

4. Data and confidentiality

Accounting and related data accessed through the App remains Contedia confidential business information (and may include personal data). Handling of personal data is described in Contedia’s Privacy Policy for this Integration.

5. No warranty

The App is provided for Contedia’s internal use on an “as is” basis to the fullest extent permitted by law. Contedia does not warrant uninterrupted or error-free operation. Nothing in this Agreement excludes liability that cannot be excluded under UK law.

6. Limitation of liability

To the fullest extent permitted by UK law, Contedia is not liable for indirect or consequential loss arising from use of the App. Contedia’s aggregate liability arising from the App is limited to £100, except where liability cannot be limited (including death or personal injury caused by negligence, or fraud).

7. Termination

Contedia may suspend or permanently disconnect the App (including revoking Intuit tokens) at any time. On termination, Contedia will stop new API use via the App; data already in QuickBooks Online remains subject to Contedia’s normal retention and Intuit’s platform rules.

8. Governing law

This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that Contedia may seek interim relief elsewhere if needed.
